1. End-User License Agreement (EULA) of Quill by Smoothstep

This End-User License Agreement ("EULA") is a legal agreement between you and Smoothstep LLC.

This EULA agreement governs your acquisition and use of (i) Quill by Smoothstep, which includes the VR painting application, the command line renderer and the command line exporter ("Quill Software") directly from Smoothstep LLC or indirectly through a Smoothstep LLC authorized reseller or distributor (a "Reseller"); and (ii) the Quill Website and Forum ("Website"); and (iii) the content created by you in Quill ("Customer Content"). However, in the event you ("Customer") have a signed licence agreement in place with Smoothstep LLC, that licence agreement shall prevail over this Agreement.

Please read this EULA agreement carefully before completing the installation process and using the Quill Software. It provides a license to use the Quill Software and contains warranty information and liability disclaimers.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Quill Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Quill Software supplied by Smoothstep LLC herewith regardless of whether other software is referred to or described herein. The terms also apply to any Smoothstep LLC updates, supplements, Internet-based services, and support services for the Quill Software, unless other terms accompany those items on delivery. If so, those terms apply.

2. Fees

Smoothstep LLC may provide access to Quill Software free of charge or introduce charges (in the form of subscriptions or otherwise) applicable to the Quill Software. Smoothstel LLC may change the charges or paid subscriptions applicable to the Quill Software at any time by providing written notice to the Customer from within the Quill Software itself and/or the Reseller's distribution platform.

3. License Grant to use Quill

3.1 Smoothstep LLC hereby grants you a personal, non-transferable, non-exclusive licence to use the Quill Software and Website on your devices in accordance with the terms of this EULA agreement.

3.2 You are permitted to load the Quill Software (for example on a PC, laptop or other device) under your control. You are responsible for ensuring your device meets the minimum requirements of the Quill Software.

3.3 The Quill Software may allow you to export or upload content to third party platforms and applications. You are responsible for the accuracy, quality and legality of such content, and for obtaining all rights necessary for such content.

3.4 You are not permitted to:

• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Quill Software for any purposes, including disrupting, disabling, harming or otherwise impeding in any manner the operation of the Quill Software.
• Combine or incorporate any part of the Quill Software in any other software., or create derivative works based on, the whole or any part of the Quill Software.
• Decompile, disassemble or reverse engineer the Quill Software or attempt to do any such things.
• Reproduce, copy, distribute, rent, sub-license, merge, resell or otherwise use the Quill Software for any commercial purpose.
• Interfere with the proper working of the Quill Software.
• Circumvent, disable, or interfere with security-related features of the Quill Software or features that prevent or restrict use, copying or access to the Quill Software, or that enforce limitations on use of the Quill Software.
• Allow any third party to use the Quill Software on behalf of or for the benefit of any third party.
• Use the Quill Software in any way which breaches any applicable local, national or international law.
• Contest, challenge or otherwise make any claim or take any action adverse to Smoothstep LLC's ownership of, or interest in, the Quill Software (or any part thereof).
• Use the Quill Software for any purpose that Smoothstep LLC considers is a breach of this EULA agreement.
• Impose an unreasonable or disproportionately large load on the Quill Software.
• Use the Quill Software for a fraudulent or illegal purpose.

3.5 Despite Smoothstep LLC's best efforts to make the Quill Software as robust and reliable as possible, malfunctioning of the software might occur which might or might not unintentionally corrupt or destroy Customer Content. In such cases, Customer will not sue or initate legal action agains Smoothstep LLC.

4. Intellectual Property and Ownership

4.1 Customer owns all Intellectual Property Rights to the Customer Content created by Customer within the Quill Software, and Smoothstep shall not obtain any right, title or interest in the Customer Content whatsoever.

4.2 Smoothstep LLC shall at all times retain ownership and Intellectual Property Rights of the Quill Software and its underlying technology as originally and subsequently downloaded of the Quill Software by Customer.

4.3 Smoothstep LLC reserves the right to grant licenses to use the Software to third parties.

4.4. Customer hereby assigns to Smoothstep LLC all rights, including all Intellectual Property Rights in and to any and all suggestions, enhancements, requests, recommendations, corrections, or other feedback made by or on behalf of Customer relating to the Quill Software.

5. Termination

5.1 This EULA agreement is effective from the date you first use the Software and shall continue until terminated.

5.2 Customer may terminate it at any time upon written notice to Smoothstep LLC.

5.3 In case of a free subscription, Smoothstep LLC may terminate this EULA at any time upon written notice.

5.4. Smoothstep LLC may also terminate this EUA, without affecting any other right or remedy available to it, with immediate effect if the Customer (i) commits a material breach of any term of this Agreement; or (ii) becomes insolvent or unable to pay its debts (as defined in section 123 of the Insolvency Act 1986).

5.5 Smoothstep LLC may also terminate a Customer's ability to interact with other customers in the Forum if community infractions occur repeatedly even after Smoothstep LLC issues due warnings to Customer.
